By accessing or using our services, you agree to be bound by these Terms of Service. Please read them carefully.
ReUp – Terms of Service
1. Introduction and Acceptance of Terms
Welcome to ReUp, a digital bill payment and utility services platform operated by Bellah Options (Registration No. BN3668420), a business entity duly registered under the laws of the Federal Republic of Nigeria ("we," "our," "us," or "Company").
By accessing, browsing, registering for, or using the ReUp website, mobile application, application programming interface (API), or any related services (collectively referred to as the "Platform" or "Service"), you ("you," "your," or "User") acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms" or "Agreement"), as well as our Privacy Policy and any other applicable policies referenced herein.
If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Platform.
These Terms constitute a binding legal agreement between you and Bellah Options. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of such changes.
2. Definitions
For purposes of these Terms, the following definitions apply:
- "Account" means the user profile created upon registration on the ReUp Platform.
- "Bellah Options" refers to the registered business entity operating ReUp (Registration No. BN3668420).
- "Services" means all products and services offered through the ReUp Platform, including but not limited to mobile airtime, data bundles, cable TV subscriptions, electricity bill payments, and other digital utility services.
- "Wallet" means the virtual account maintained within the Platform where Users can store funds for future transactions.
- "Transaction" means any purchase, payment, or transfer of funds made through the Platform.
- "User Content" means any content, information, data, text, photographs, videos, or other materials submitted, posted, or shared by Users on or through the Platform.
- "Third-Party Provider" means external service providers, including but not limited to telecommunications companies, utility providers, and payment processors.
3. Description of Services
3.1 Platform Overview
ReUp is a web-based and mobile application platform that facilitates the purchase and payment of the following services at competitive and discounted rates:
- Mobile airtime for all major Nigerian networks (MTN, Airtel, Glo, 9mobile)
- Mobile data bundles and internet subscriptions
- Cable and satellite television subscriptions (including but not limited to DSTV, GoTV, Startimes, ShowMax)
- Electricity bill payments and prepaid meter recharge
- Educational services (examination PINs, result checkers)
- Internet and broadband subscriptions
- Other digital utility and bill payment services as may be added from time to time
3.2 Nature of Service
ReUp acts as an intermediary platform connecting Users with Third-Party Providers. We facilitate transactions but do not directly provide telecommunications, broadcasting, electricity, or other utility services. The actual delivery and quality of services purchased through our Platform are the responsibility of the respective Third-Party Providers.
3.3 Service Limitations
ReUp and Bellah Options are NOT:
- A bank or financial institution
- A deposit-taking institution
- A telecommunications provider
- A utility company
- A payment service bank
We do not offer banking services, and funds held in your Wallet are not deposits and do not constitute banking relationships.
3.4 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, including but not limited to pricing, product offerings, features, and availability. We shall not be liable to you or any third party for any such modification, suspension, or discontinuance.
4. Eligibility and Account Registration
4.1 Age Requirements
To use ReUp, you must:
- Be at least 18 years of age, OR
- Be between 13-17 years of age with verifiable parental or legal guardian consent, OR
- Have reached the age of majority in your jurisdiction if different from the above
By creating an Account, you represent and warrant that you meet these eligibility requirements.
4.2 Account Registration
To access certain features of the Platform, you must create an Account by providing:
- Full legal name
- Valid email address
- Active mobile phone number
- Password meeting our security requirements
- Any other information we may reasonably request
4.3 Account Information Accuracy
You agree to:
- Provide accurate, current, and complete information during registration and at all times while using the Service
- Promptly update your Account information to maintain its accuracy and completeness
- Accept all risks of unauthorized access resulting from your failure to maintain accurate information
We reserve the right to suspend or terminate Accounts with false, inaccurate, outdated, or incomplete information.
4.4 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your Account credentials (username, password, PIN)
- All activities that occur under your Account, whether authorized or unauthorized
- Immediately notifying us of any unauthorized use of your Account or security breach
You must not:
- Share your Account credentials with any third party
- Allow any other person to access your Account
- Use another person's Account without permission
We will never ask for your password via email, phone, or any other communication method. Any such request should be reported to us immediately.
4.5 Multiple Accounts Prohibition
Each User is permitted to maintain only ONE (1) active Account. Creating or operating multiple Accounts for any purpose, including but not limited to:
- Circumventing promotional limits
- Abusing referral programs
- Manipulating pricing or discounts
- Avoiding account restrictions or suspensions
is strictly prohibited and will result in immediate termination of all associated Accounts and forfeiture of all Wallet balances.
4.6 Account Transfer
Accounts are personal and non-transferable. You may not sell, transfer, assign, or otherwise convey your Account or Account rights to any other person or entity.
5. Wallet and Fund Management
5.1 Wallet Functionality
Your ReUp Wallet is a virtual account within the Platform that allows you to:
- Store funds for future purchases
- Track transaction history
- Receive referral bonuses and promotional credits
5.2 Nature of Wallet Funds
IMPORTANT NOTICE:
- Your Wallet balance is NOT a bank deposit
- Funds in your Wallet do NOT earn interest
- Wallet funds are NOT insured or protected by the Nigeria Deposit Insurance Corporation (NDIC) or any other deposit protection scheme
- Wallet funds do NOT constitute a debt owed by Bellah Options to you
- Wallet balances represent prepaid value for future purchases of Services only
5.3 Funding Your Wallet
You may fund your Wallet through the following methods:
- Debit/credit card payments via Paystack
- Bank transfers to designated Bellah Options accounts
- USSD or mobile money transfers
- Other payment methods as may be made available
All payments are processed through accounts owned and operated by Bellah Options.
5.4 Wallet Funding Limits
For security and fraud prevention purposes, we may impose:
- Minimum funding amounts
- Maximum single transaction limits
- Daily, weekly, or monthly funding limits
- Restrictions based on Account verification status
These limits may be adjusted at our discretion without prior notice.
5.5 Wallet Withdrawals
Wallet withdrawals are generally not permitted except in the following circumstances:
- Error corrections as outlined in Section 6 (Refund Policy)
- Account closure where a balance remains
- Regulatory requirements
- At our sole discretion on a case-by-case basis
Withdrawal requests, where permitted, may be subject to:
- Processing fees
- Minimum withdrawal thresholds
- Verification requirements
- Processing time of 5-10 business days
5.6 Dormant Wallet Balances
Wallet balances in dormant Accounts (as defined in Section 10.2) may be forfeited in accordance with the dormant account procedures outlined in these Terms.
6. Transactions and Payments
6.1 Payment Processing
All transactions conducted through ReUp are processed via accounts owned and operated by Bellah Options. Our default payment processor is Paystack Technologies Limited. By using Paystack's services, you also agree to be bound by Paystack's Terms of Service and Privacy Policy, available at https://paystack.com/terms.
6.2 Transaction Authorization
When you initiate a transaction, you authorize us to:
- Debit your Wallet or charge your payment method for the full transaction amount
- Share necessary transaction details with Third-Party Providers
- Process the transaction on your behalf
- Retain transaction records for accounting and regulatory purposes
6.3 Transaction Confirmation
Transactions are considered complete when:
- Payment has been successfully received and confirmed
- The service has been delivered to the designated recipient/account number
- You receive a transaction confirmation via email, SMS, or in-app notification
IMPORTANT: Please verify all transaction details (phone numbers, smart card numbers, meter numbers, amounts) before confirming your purchase. Once a transaction is completed and the service is delivered, it CANNOT be reversed, cancelled, or refunded except as provided in Section 7 (Refund Policy).
6.4 Transaction Fees
We reserve the right to charge transaction fees, service charges, or convenience fees on certain Services. All applicable fees will be clearly disclosed before you complete a transaction.
6.5 Pricing
All prices displayed on the Platform are in Nigerian Naira (NGN) and include applicable taxes unless otherwise stated. We reserve the right to:
- Change pricing at any time without prior notice
- Offer promotional pricing for limited periods
- Provide different pricing to different Users based on promotional programs, loyalty status, or other factors
6.6 Transaction Limits
We may impose limits on:
- Transaction amounts (minimum and maximum)
- Transaction frequency (daily, weekly, monthly)
- Total transaction value within specified time periods
These limits are implemented for security purposes and may vary based on your Account verification level.
6.7 Declined or Failed Transactions
We reserve the right to refuse, cancel, or decline any transaction at our sole discretion, particularly in cases of:
- Suspected fraud or unauthorized use
- Pricing errors or system glitches
- Insufficient Wallet balance or payment method failure
- Violation of these Terms
- Service unavailability from Third-Party Providers
- Unusual transaction patterns
- Failure to pass security verification
If a transaction is declined after payment has been processed, the amount will be refunded to your Wallet or original payment method within 5-10 business days.
6.8 Transaction Errors
If you believe a transaction error has occurred (e.g., charged incorrect amount, service not delivered, wrong recipient), you must notify us within 48 hours of the transaction via:

We will investigate the matter and respond within 5-7 business days. Resolution may include crediting your Wallet, reprocessing the transaction, or providing an explanation.
7. Refund and Error Policy
7.1 General No-Refund Policy
ReUp operates a strict no-refund policy for completed transactions. Once a service has been successfully delivered (airtime credited, data activated, cable subscription processed, electricity units loaded, etc.), the transaction is final and irreversible.
NO REFUNDS will be granted for:
- User error in entering incorrect phone numbers, smart card numbers, or meter numbers
- Change of mind after purchase
- Dissatisfaction with Third-Party Provider services
- Failure to use purchased services before expiration (data bundles, cable subscriptions, etc.)
- Network or provider issues beyond our control
- Duplicate purchases made in error
7.2 Wallet Funding Error Refunds
The ONLY circumstance under which refunds may be granted is when you accidentally fund your Wallet with an amount exceeding 50% or more of the sum you intended to fund.
Example: If you intended to fund your Wallet with ₦5,000 but accidentally funded it with ₦10,000 or more, you may be eligible for a refund of the excess amount.
7.3 Refund Application Process
To apply for a wallet funding error refund:
- Contact us within 48 hours of the erroneous funding via:

- Provide the following information:
- Your registered name and email address
- Transaction reference number
- Amount intended to fund
- Actual amount funded
- Bank account details for refund (account name must match your ReUp Account name)
- Screenshot or proof of the erroneous transaction
- We will verify your claim and, if approved, process the refund within 24-48 hours after confirmation.
7.4 Refund Method
Approved refunds will be returned via:
- The original payment method used for funding (where technically possible), OR
- Bank transfer to your verified bank account
Refund processing times vary depending on your bank or payment provider and may take up to 5-10 business days to reflect in your account.
7.5 Refund Conditions and Limitations
Refunds are subject to the following conditions:
- The excess amount must still be available in your Wallet (not already spent)
- The request must be made within 48 hours of the erroneous funding
- You must provide satisfactory proof of the error
- The amount must genuinely represent an error and not an abuse of the refund policy
- We reserve the right to deny any refund request at our discretion if we suspect fraud or abuse.
7.6 Transaction Failure Refunds
If you are charged for a transaction but the service is not delivered due to system error or Third-Party Provider failure (not due to user error), you may be entitled to:
- Automatic retry of the transaction, OR
- Wallet credit of the transaction amount, OR
- Refund to original payment method
Such refunds will be processed within 5-10 business days after verification.
7.7 Chargebacks
WARNING: Initiating a chargeback or payment dispute with your bank or card issuer for legitimate transactions will result in:
- Immediate Account suspension
- Forfeiture of Wallet balance
- Permanent Account termination
- Legal action to recover costs and damages
- Report to relevant authorities for fraud
If you have a genuine dispute, you must contact our support team first before initiating any chargeback.
8. Referral Rewards Program
8.1 Program Overview
ReUp operates a referral rewards program that allows existing Users to earn bonuses by referring new Users to the Platform.
8.2 Referral Rewards
- Users can earn up to ₦200 per successful referral
- Referral bonus is credited to your Wallet after the referred User successfully funds their Wallet for the first time
- There is no limit to the number of referrals you can make
- Referral bonuses may be subject to change at any time at our discretion.
8.3 Referral Eligibility
To be eligible for referral rewards:
- You must have an active, verified ReUp Account in good standing
- The referred person must be a new User who has never previously registered on ReUp
- The referred User must register using your unique referral code or link
- The referred User must successfully fund their Wallet with a minimum amount (to be specified from time to time).
8.4 Prohibited Referral Practices
The following practices are strictly prohibited and will result in forfeiture of rewards and possible Account termination:
- Creating fake or fraudulent Accounts to refer yourself
- Using automated systems, bots, or scripts to generate referrals
- Offering monetary incentives to individuals to register using your referral code
- Spamming individuals or groups with unsolicited referral links
- Misrepresenting ReUp or making false claims about the Platform to generate referrals
- Any other form of referral abuse or manipulation
8.5 Program Modifications
We reserve the right to:
- Modify the referral rewards amount at any time
- Suspend or terminate the referral program entirely
- Change eligibility criteria and program terms
- Withhold or reverse rewards if fraud or abuse is detected
Changes to the referral program will be communicated via email, in-app notification, or posting on the Platform.
8.6 Tax Implications
You are solely responsible for any tax liabilities arising from referral rewards received. We may be required to report referral earnings to tax authorities if required by law.
9. User-Generated Content and Promotional Activities
9.1 Permission to Create Content
Users are permitted and encouraged to create promotional content based on their genuine experience with ReUp, including but not limited to:
- Social media posts (Facebook, Twitter, Instagram, TikTok, LinkedIn, etc.)
- Blog articles and written reviews
- Video testimonials and demonstrations
- Podcasts or audio content
- Graphics, images, and infographics
9.2 Content Guidelines
All User-Generated Content must:
- Be based on your authentic, personal experience with ReUp
- Be truthful, accurate, and not misleading
- Comply with all applicable laws and regulations
- Not infringe upon any third-party intellectual property rights, privacy rights, or other rights
- Not contain offensive, defamatory, obscene, or illegal content
- Not make false claims about ReUp's Services, pricing, or capabilities
9.3 License Grant
By creating and sharing User-Generated Content about ReUp, you grant to Bellah Options:
- A non-exclusive, worldwide, royalty-free, perpetual, irrevocable, transferable license
- To use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, display, and perform such content
- Across all media formats and channels (including but not limited to our website, social media, advertisements, and promotional materials)
- For marketing, promotional, commercial, and other business purposes
This license continues even if you stop using ReUp or close your Account.
9.4 Moral Rights Waiver
To the extent permitted by law, you waive any moral rights you may have in User-Generated Content that could prevent us from using it as described in Section 9.3.
9.5 Content Ownership and Responsibility
- You retain ownership of your User-Generated Content
- You are solely responsible for all content you create and share
- We are not responsible for any consequences arising from your User-Generated Content
- We do not endorse, guarantee, or verify any User-Generated Content
9.6 Prohibited Content
You must NOT create content that:
- Contains false or misleading information about ReUp
- Makes unrealistic promises or guarantees about earnings, savings, or benefits
- Impersonates ReUp, Bellah Options, or any of our employees
- Discloses confidential or proprietary information
- Violates these Terms or any applicable laws
9.7 Content Removal
We reserve the right to:
- Request removal of any User-Generated Content at any time for any reason
- Remove or refuse to use any content that violates these Terms
- Take legal action against Users who create harmful or illegal content
9.8 No Obligation to Monitor
We have no obligation to monitor User-Generated Content and are not responsible for content created by Users. However, we may monitor, review, or remove content at our discretion.
10. Account Suspension, Termination, and Dormancy
10.1 Our Right to Suspend or Terminate
We reserve the right to suspend, restrict, or terminate your Account and access to the Services immediately and without prior notice in the following exceptional circumstances:
- Severe fraud, including but not limited to payment fraud, identity theft, or account takeover
- Illegal activity, including money laundering, terrorism financing, or other criminal conduct
- Serious violation of these Terms that poses immediate risk to ReUp, other Users, or third parties
- Court order, regulatory directive, or legal requirement mandating such action
- Imminent security threat to the Platform or other Users
10.2 Termination with Notice
For general or less severe breaches of these Terms, including but not limited to:
- Multiple minor policy violations
- Suspected (but unconfirmed) fraudulent activity
- Abuse of promotional programs
- Failure to maintain accurate Account information
We will provide you with advance written notice of at least 60 days (2 months) via email before suspending or terminating your Account. This notice will:
- Specify the reason for the proposed action
- Provide you with an opportunity to remedy the breach (if applicable)
- Inform you of the effective date of suspension or termination
- Advise you to withdraw any remaining Wallet balance before the effective date
10.3 Dormant Accounts
An Account is considered "dormant" if:
- There has been no login activity for 365 consecutive days, AND
- No transactions (purchases, wallet funding, or withdrawals) have been made for 365 consecutive days
Dormant Account Procedure:
- On the 335th day of inactivity (30 days before deletion), we will send a notification to your registered email address and phone number warning you that your Account will be permanently deleted in 30 days.
- On the 366th day of continuous inactivity, your Account will be permanently and irreversibly deleted, including:
- All personal information and Account data
- Transaction history
- Any remaining Wallet balance (which will be forfeited)
- If you log in or perform any transaction before the 366th day, your Account will be reactivated and the deletion process will be cancelled.
10.4 Your Right to Terminate
You may terminate your Account at any time by:
- Contacting our support team via email (reup@bellahoptions.com) or WhatsApp (09076017916)
- Requesting Account closure
- Withdrawing any remaining Wallet balance (subject to our withdrawal policy)
We will process your termination request within 7 business days.
10.5 Effects of Termination
Upon termination of your Account (whether by you or us):
- Your access to the Services will be immediately revoked
- You will no longer be able to access your transaction history (ensure you download or save records before termination)
- Any pending transactions may be cancelled
- Wallet balances not withdrawn before termination may be forfeited (except in cases where we terminate without cause)
- Any outstanding amounts owed by you remain due and payable
- Provisions of these Terms that by their nature should survive termination will continue to apply
10.6 No Liability for Termination
Except as required by law, we shall not be liable to you or any third party for termination or suspension of your Account or access to the Services, provided we comply with the notice requirements outlined in this Section 10.
11. Fraud Prevention and Reporting
11.1 Our Commitment to Fraud Prevention
Bellah Options takes fraud, financial crimes, and illegal activity very seriously. We employ various security measures, monitoring systems, and verification procedures to detect and prevent fraudulent use of the Platform.
11.2 Reporting to Authorities
Without limitation and without prior notice to you, Bellah Options reserves the right to report any fraudulent, suspicious, or illegal activity to relevant Nigerian authorities, including but not limited to:
- The Economic and Financial Crimes Commission (EFCC)
- The Nigerian Police Force
- The Nigerian Communications Commission (NCC)
- The Central Bank of Nigeria (CBN)
- The Nigerian Financial Intelligence Unit (NFIU)
- Any other relevant law enforcement or regulatory agencies
11.3 Cooperation with Investigations
By using ReUp, you acknowledge and agree that:
- We may share your Account information, transaction records, and any other relevant data with law enforcement or regulatory authorities if required by law or if we reasonably believe illegal activity has occurred
- We may freeze or restrict your Account during pending investigations
- We have no obligation to inform you if we report your activities to authorities
- You waive any claims against us for such reporting made in good faith.
11.4 Prohibited Activities
The following activities are strictly prohibited and will result in immediate Account termination and reporting to authorities:
- Using stolen credit cards or payment information
- Engaging in money laundering or terrorist financing
- Using the Platform to facilitate fraud against Third-Party Providers
- Creating Accounts with false or stolen identities
- Conducting transactions on behalf of sanctioned individuals or entities
- Using the Platform for any illegal purpose
- Attempting to defraud ReUp, other Users, or third parties
11.5 User Liability for Fraud
Users engaged in fraudulent activity will be:
- Held criminally and civilly liable for all damages incurred
- Subject to prosecution under Nigerian law
- Required to reimburse Bellah Options for all losses, costs, and expenses (including legal fees) arising from their fraudulent conduct
- Permanently banned from using ReUp and any related services
11.6 Chargeback Abuse
Initiating fraudulent chargebacks (payment disputes with your bank for legitimate transactions) constitutes fraud. We will:
- Report chargeback abuse to payment processors and card networks
- Take legal action to recover the disputed amount plus damages
- Report the matter to appropriate authorities
12. Intellectual Property Rights
12.1 Ownership of Platform
All intellectual property rights in and to the ReUp Platform and Services, including but not limited to:
- Trademarks, service marks, trade names, logos, and brand features ("ReUp," "Bellah Options," and related marks)
- Software, code, algorithms, and technology
- Website design, layout, graphics, and visual elements
- Content, text, images, videos, and other materials
- Trade secrets, know-how, and proprietary processes
are owned exclusively by Bellah Options or our licensors and are protected by Nigerian and international intellectual property laws, including copyright, trademark, and trade secret laws.
12.2 Limited License to Users
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
- Access and use the Platform for personal, non-commercial purposes
- Download the ReUp mobile application on your device for personal use
This license does not grant you any ownership rights in the Platform or Services.
12.3 Restrictions on Use
You may NOT:
- Copy, modify, distribute, sell, or lease any part of the Platform or Services
- Reverse engineer, decompile, or attempt to extract the source code of the Platform (except where prohibited by law)
- Use our trademarks, logos, or branding without prior written permission
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices
- Create derivative works based on the Platform
- Use any automated systems (robots, scrapers, etc.) to access or interact with the Platform
- Frame or mirror any part of the Platform without our express written consent
- Use the Platform to develop a competing product or service
12.4 User Content Ownership
You retain ownership of any personal content you submit to the Platform (except User-Generated Content covered in Section 9). However, by submitting content, you grant us a license to use it as necessary to provide the Services.
12.5 Feedback
If you provide us with feedback, suggestions, or ideas about the Platform ("Feedback"), you grant us an unlimited, irrevocable, perpetual, royalty-free right to use such Feedback for any purpose without compensation or attribution to you.
12.6 Infringement Claims
If you believe any content on the Platform infringes your intellectual property rights, please contact us at reup@bellahoptions.com with:
- Description of the copyrighted work or intellectual property
- Location of the infringing material on the Platform
- Your contact information
- A statement of good faith belief that the use is unauthorized
- A statement that the information provided is accurate
12.7 Third-Party Trademarks
All third-party trademarks, service marks, and logos displayed on the Platform (including telecom providers, TV networks, payment processors, etc.) are the property of their respective owners and are used solely for descriptive purposes.
13. Privacy and Data Protection
13.1 Data Collection and Use
We collect and process your personal data in accordance with the Nigeria Data Protection Regulation (NDPR) and other applicable data protection laws. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
13.2 Types of Data Collected
We may collect the following categories of personal data:
- Identity Information: Name, date of birth, government-issued ID numbers
- Contact Information: Email address, phone number, physical address
- Financial Information: Payment details, transaction history, Wallet balance
- Technical Information: IP address, device information, browser type, usage data
- Transactional Information: Purchase history, service preferences, recipient details
13.3 Consent
By using ReUp, you consent to:
- The collection, processing, and storage of your personal data as described in our Privacy Policy
- The sharing of your information with Third-Party Providers as necessary to complete transactions
- The use of your information for marketing purposes (unless you opt out)
- The transfer of your data to our service providers and partners
13.4 Data Security
We implement reasonable technical and organizational measures to protect your personal data against unauthorized access, alteration, disclosure, or destruction. However, no system is completely secure, and we cannot guarantee absolute security of your data.
13.5 Data Retention
We retain your personal data for as long as:
- Your Account remains active
- Necessary to provide Services to you
- Required by law or for legitimate business purposes (typically 7 years for financial records)
Upon Account termination, we may retain certain data for legal, regulatory, or fraud prevention purposes.
13.6 Your Data Rights
Under the NDPR, you have the right to:
- Access your personal data
- Correct inaccurate data
- Request deletion of your data (subject to legal retention requirements)
- Object to certain data processing activities
- Withdraw consent where processing is based on consent

13.7 Cookies and Tracking

THE REUP PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY LAW, BELLAH OPTIONS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties regarding the accuracy, reliability, or completeness of content or services
- Warranties that the Platform will be uninterrupted, error-free, secure, or virus-free
- Warranties regarding the quality, availability, or pricing of Third-Party Provider services
14.2 No Guarantees
We do NOT guarantee that:
- The Platform will meet your specific requirements or expectations
- Services will be delivered exactly as described or within specific timeframes
- Any errors or defects in the Platform will be corrected
- The Platform will be compatible with all devices or browsers
- Third-Party Providers will deliver services as promised
14.3 Third-Party Services
We are NOT responsible for:
- The quality, performance, availability, or pricing of services provided by Third-Party Providers (telecom networks, cable companies, electricity distributors, etc.)
- Network outages, service interruptions, or technical failures by Third-Party Providers
- Changes to Third-Party Provider pricing, policies, or service offerings
- Delays in service delivery caused by Third-Party Providers
- Customer service or support issues with Third-Party Providers
14.4 Payment Processor
We are NOT responsible for:
- Paystack or other payment processor failures, outages, or errors
- Payment processing delays
- Declined transactions due to payment method issues
- Payment processor fees or charges
14.5 Platform Availability
We make reasonable efforts to ensure Platform availability but do not guarantee continuous, uninterrupted access. The Platform may be unavailable due to:
- Scheduled or emergency maintenance
- System upgrades or improvements
- Network or server failures
- Distributed denial-of-service (DDoS) attacks or security threats
- Events beyond our reasonable control
14.6 Information Accuracy
- While we strive to provide accurate information, we do not warrant that:
- Product descriptions, pricing, or availability information is accurate, complete, or current
- Content on the Platform is free from errors or omissions
- Third-Party Provider information is up to date
14.7 Assumption of Risk
You acknowledge and agree that you use the Platform at your own risk and discretion. You are solely responsible for:
- Verifying the accuracy of transaction details before confirmation
- Ensuring you have the right to make purchases for third parties
- Bearing the consequences of user errors or mistakes
15. Limitation of Liability
15.1 Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, BELLAH OPTIONS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Service interruptions or unavailability
- Unauthorized access to or alteration of your data
- Statements, conduct, or actions of any third party on or through the Platform
- Damages resulting from your use or inability to use the Platform
- Damages arising from reliance on content or services provided through the Platform
- Damages from viruses, malware, or other harmful components
This limitation applies regardless of the legal theory upon which the claim is based (contract, tort, negligence, strict liability, or otherwise), and even if we have been advised of the possibility of such damages.
15.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR SERVICES SHALL NOT EXCEED THE LESSER OF:
- The total amount paid by you to ReUp in the 12 months preceding the claim, OR
- The amount of the specific transaction giving rise to the claim, OR
- ₦20,000 (Fifty Thousand Naira)
15.3 Causes of Non-Liability
We shall not be liable for losses or damages resulting from:
- User errors (incorrect phone numbers, smart card numbers, meter numbers, amounts, etc.)
- Network or service failures by Third-Party Providers (telecommunications networks, cable companies, electricity distributors)
- Payment processor issues (Paystack outages, declined transactions, processing delays)
- Force majeure events (as described in Section 18)
- Your violation of these Terms or applicable laws
- Unauthorized access to your Account resulting from your failure to maintain security
- Government actions (regulatory changes, service bans, internet shutdowns)
- Your device or internet connectivity issues
15.4 Essential Purpose
You acknowledge that the limitations of liability set forth in this Section 15 are fundamental elements of the basis of the bargain between you and Bellah Options, and that we would not be able to provide the Platform or Services on an economically reasonable basis without these limitations.
15.5 Applicable Law
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply, and you may have additional rights. In such cases, our liability will be limited to the fullest extent permitted by applicable law.
16. Indemnification
16.1 Your Indemnification Obligations
You agree to indemnify, defend, and hold harmless Bellah Options, its parent companies, subsidiaries, affiliates, directors, officers, employees, agents, partners, contractors, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and legal costs) arising from or related to:
- Your use or misuse of the Platform or Services
- Your violation of these Terms or any applicable laws or regulations
- Your violation of any rights of any third party, including intellectual property rights, privacy rights, or contractual rights
- Any User-Generated Content you create, submit, or share
- Any fraudulent, illegal, or unauthorized activity conducted through your Account
- Your negligence or willful misconduct
- Any transaction disputes arising from your use of the Services
- Your failure to maintain the security of your Account credentials
16.2 Defense of Claims
Bellah Options reserves the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. In such cases, you agree to cooperate fully with our defense of such claims.
16.3 Notice of Claims
You must promptly notify us of any third-party claims for which you seek indemnification. Failure to provide timely notice may limit your indemnification rights.
16.4 Survival
This indemnification obligation survives termination of your Account and these Terms.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.
17.2 Jurisdiction and Venue
Subject to the dispute resolution process outlined below, you agree that any legal action or proceeding arising from or related to these Terms or your use of the Platform shall be brought exclusively in the courts located in Ogun State, Nigeria. You irrevocably consent to the personal jurisdiction and venue of such courts.
17.3 Amicable Resolution
Before initiating any formal legal proceedings, both parties agree to make good faith efforts to resolve any dispute, claim, or controversy arising from or related to these Terms through amicable negotiation.
Dispute Resolution Process:
- Notice of Dispute: The party raising the dispute must provide written notice to the other party describing:
- The nature of the dispute
- The amount involved (if applicable)
- The remedy sought
- Negotiation Period: Both parties agree to negotiate in good faith for a period of 30 days from the date of the dispute notice.

- Escalation: If the dispute cannot be resolved through negotiation within 30 days, either party may pursue formal legal remedies.
17.4 Arbitration (Optional)
As an alternative to court proceedings, both parties may mutually agree to submit disputes to binding arbitration under the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria, 2004). Arbitration proceedings shall be conducted in Ogun State, Nigeria.
17.5 Small Claims Court
Notwithstanding the above, either party may bring an action in small claims court if the claim qualifies and is brought in the proper venue.
17.6 Equitable Relief
Nothing in this Section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
17.7 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
17.8 Limitation on Time to File Claims
Any cause of action or claim you may have arising from or relating to these Terms or the Platform must be commenced within ONE (1) YEAR after the cause of action accrues. Otherwise, such cause of action or claim is permanently barred.
18. Force Majeure
18.1 Force Majeure Events
Bellah Options shall not be liable for any failure to perform or delay in performance of any obligation under these Terms due to events beyond our reasonable control ("Force Majeure Events"), including but not limited to:
- Natural disasters (earthquakes, floods, hurricanes, fires, pandemics, epidemics)
- War, terrorism, civil unrest, riots, or insurrection
- Government actions, regulations, embargoes, or sanctions
- Labor disputes, strikes, or lockouts
- Internet or telecommunications network failures or disruptions
- Power outages or electrical grid failures
- Cyberattacks, distributed denial-of-service (DDoS) attacks, or hacking attempts
- Third-Party Provider failures or service interruptions
- Acts of God or other circumstances beyond our reasonable control
18.2 Notification
If a Force Majeure Event occurs, we will use reasonable efforts to:
- Notify affected Users via email, SMS, or in-app notification
- Minimize the impact of the Force Majeure Event
- Resume normal operations as soon as reasonably practicable
18.3 Suspension of Obligations
During the continuation of a Force Majeure Event, our obligations under these Terms (except for payment obligations) shall be suspended to the extent affected by the Force Majeure Event.
18.4 Termination for Prolonged Force Majeure
If a Force Majeure Event continues for more than 90 consecutive days, either party may terminate the affected transaction or service upon written notice to the other party.
19. Third-Party Services and Links
19.1 Third-Party Relationships
ReUp facilitates transactions with Third-Party Providers, including but not limited to:
- Telecommunications companies (MTN, Airtel, Glo, 9mobile)
- Cable and satellite TV providers (DSTV, GoTV, Startimes)
- Electricity distribution companies
- Payment processors (Paystack)
- Educational institutions and examination bodies
We are NOT affiliated with, endorsed by, or directly partnered with these Third-Party Providers unless explicitly stated.
19.2 No Responsibility for Third-Party Services
We are NOT responsible for:
- The content, accuracy, quality, or availability of Third-Party Provider services
- The policies, terms, or practices of Third-Party Providers
- Any damages or losses arising from your use of Third-Party Provider services
- Customer service, technical support, or dispute resolution with Third-Party Providers
- Price changes, service modifications, or discontinuations by Third-Party Providers
19.3 Third-Party Links
The Platform may contain links to third-party websites, applications, or services. These links are provided for convenience only. We do not:
- Endorse or recommend any third-party websites or services
- Control the content or practices of third-party sites
- Assume any responsibility for third-party content or services
You access third-party websites at your own risk and should review their terms and privacy policies.
19.4 Third-Party Content
Any third-party content, advertisements, or promotions displayed on the Platform are the sole responsibility of the third parties providing such content. We make no representations or warranties regarding third-party content.
19.5 Disputes with Third Parties
Any disputes, claims, or issues arising from Third-Party Provider services must be resolved directly between you and the Third-Party Provider. We may assist with forwarding complaints or providing transaction records, but we are not responsible for resolving such disputes.
20. Modifications to Terms
20.1 Right to Modify
Bellah Options reserves the right to modify, amend, or update these Terms at any time, at our sole discretion, for reasons including but not limited to:
- Changes in applicable laws or regulations
- Enhancement of user protection and security
- Introduction of new features or services
- Clarification of existing provisions
- Response to user feedback or operational needs
20.2 Notification of Changes
When we make material changes to these Terms, we will:
- Update the "Last Updated" date at the top of these Terms
- Notify you via one or more of the following methods:
- Email to your registered email address
- In-app notification or banner on the Platform
- SMS to your registered phone number
- Prominent notice on our website
For minor, non-material changes (such as typographical corrections or clarifications), we may not provide individual notice but will update the "Last Updated" date.
20.3 Effective Date of Changes
Changes to these Terms will become effective:
- For material changes: 30 days after we provide notice to Users
- For non-material changes: Immediately upon posting
20.4 Acceptance of Changes
Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must:
- Stop using the Platform immediately
- Close your Account by contacting our support team
- Withdraw any remaining Wallet balance before termination
20.5 Version History
We maintain a version history of these Terms. Previous versions may be available upon request by contacting reup@bellahoptions.com.
21. General Provisions
21.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Bellah Options regarding your use of the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.
21.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent and economic effect of the invalid provision.
21.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. A waiver of any breach or default shall not constitute a waiver of any subsequent breach or default.
21.4 Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision is null and void.
We may assign or transfer our rights and obligations under these Terms, in whole or in part, to any third party at any time without notice or consent, including in connection with a merger, acquisition, reorganization, or sale of assets.
21.5 No Third-Party Beneficiaries
These Terms are for the sole benefit of you and Bellah Options and do not create any third-party beneficiary rights except for the Indemnified Parties described in Section 16.
21.6 Headings
The section and subsection headings in these Terms are for convenience only and have no legal or contractual effect.
21.7 Interpretation
In these Terms:
- "Including" means "including but not limited to"
- Singular terms include the plural and vice versa
- "Or" is not exclusive (means "and/or")
- "Days" means calendar days unless otherwise specified
21.8 Language
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in case of any conflict or inconsistency.
21.9 Electronic Communications
You consent to receive communications from us electronically, including via email, SMS, in-app notifications, or postings on the Platform. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.
21.10 Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Bellah Options. You have no authority to bind Bellah Options or incur obligations on our behalf.
21.11 Survival
All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to: ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, dispute resolution provisions, and general provisions.
